members of the Board deal with

corporate governance, corporate
social responsibility and
corporate ethics.
Another responsibility of the
Board is to establish committees.
The Audit and Risk Committee
is responsible for ensuring
Bradken’s financial statements
and reports are accurate and use
fair and reasonable estimates.
Our Board members also select,
hire and work with the outside
firm that audits Bradken’s
financial records.
The Human Resources
Committee sets base
compensation, stock option
awards and incentive bonuses
for the Company’s executives
and key employees, including
the CEO.
As a team, the Board brings
together a broad range of
qualifications, with considerable
experience and expertise in
management, finance,
accounting, marketing
and public company affairs.
Former NSW Premier
Mr
Nicolas Greiner
has served as
Chairman of the Board since his
appointment in April 2004. Since
his retirement from politics Nick
has been heavily involved in
the corporate world and has
extensive experience as a
Corporate Director. He is
currently the Chairman of
Rothschild’s Australia’s Council
of Advisers, QBE Lenders’
Mortgage Insurance, Nuance
Global Traders and Infrastructure
NSW, Deputy Chairman of
CHAMP Private Equity and
various private groups. He is also
on the Committee for Economic
Development of Australia’s
(CEDA’s) Board of Governors.
Bradken Managing Director
Mr
Brian Hodges
was appointed to
the Board in April 2004 and has
served as Chief Executive Officer
since 1997. During his tenure as
CEO, Brian has guided Bradken
and its culture through periods
of considerable change and
corporate activity including
four changes in ownership over
the last 14 years. Brian brings
to the Board considerable
management and leadership
experience in raw material
production and processing,
supply and logistics, and
steel manufacturing.
Mr Phillip Arnall
was appointed
as a Director to the Board in
April 2004. Phil has a wealth of
experience in the mining and steel
industries having served as the
General Manager, International
at Smorgan Steel Group Limited,
Chief General Manager of
Structural Steel Product Group,
Group Chief Executive of Tube
Mills and Mining Services and
Group Chief Executive of ANI
Products Group. He is currently
Chairman of Ludowici Limited
and is a Non-executive Director of
Macquarie Generation, A J Lucas
Group Limited and a number of
private companies.
Mr Vincent O’Rourke
has
served as a Director on the
Bradken Board since August
2004 and is also Chairperson
of the Human Resources
Committee. He has had a
distinguished 40 year career
in the rail transport industry,
most notably a 10-year term as
Chief Executive of Queensland
Rail. Vince is currently Chairman
of the Workplace Health and
Safety Board of Queensland,
Rail Innovation Australia Pty
Ltd, Taylor Rail Pty Ltd, a Non-
executive Director of Yancoal Pty
Ltd and South Australian Coal Pty
Ltd and a board member of Mater
Health Services Brisbane Limited.
Mr Gregory Laurie
has
extensive commercial experience
in a number of manufacturing and
distribution industries. Appointed
to the Board in February 2005,
Greg spent almost 15 years as
Finance Director of Crane Group
Limited before which he held the
position of Chief Financial Officer
of then listed company Rheem
Australia Ltd. Greg is currently
an independent Non-executive
Director of Nick Scali Limited and
various private groups. He is also
the Chairman of the Bradken
Audit and Risk Committee.
Mr Peter Richards
was elected
to the Board in February 2009.
He has over 30 years involvement
in the business world, with
extensive experience in corporate
globalisation having held roles
with BP Plc, Wesfarmers Ltd and
Dyno Nobel Limited. While CEO
of Dyno Nobel, he successfully
expanded the business into
foreign markets including China
and Europe. He is currently a
Non-executive Director and
Chairman of Kangaroo Resources
Limited and a Non-executive
Director of NSL Consolidated
and Emeco Holdings Limited.
In July of this year,
Dr Eileen
Doyle
was appointed the first
female Director to sit on the
Bradken Board. Eileen has
more than 30 years of business
experience in the materials and
water industries in Australia,
including senior executive roles
with BHP, Hunter Water and
CSR. She was also a founding
director of OneSteel, serving on
the board for 10 years, and is
currently Chairperson of the
Hunter Valley Research
Foundation, a board member of
the CSIRO and Non-executive
Director of Boral Group Limited
and GPT Group Limited. Eileen
has a PhD in Applied Statistics
from The University of Newcastle.
